Mr. Hyun Chul Noh is a partner at International Practice Team of DR & AJU LLC, with his practice specialized in International Transaction, International Labor & Employment, International Arbitration/Litigation, Corporate Law, Finance & Restructuring, Mergers & Acquisitions, Intellectual Property, and Environmental, Social and Governance (ESG).
He has extensive experience in advising matters involving both inbound and outbound cross-border investment projects of various forms such as by joint venture establishments, and mergers and acquisitions of existing companies. In addition to the transactional advisory work (including the actual contract negotiation work), Mr. Noh is also very actively engaged in cross-border disputes (both litigation and arbitration) work involving parties of different jurisdictions. Notably, he has handled and managed work for a complex document review and discovery process for the Korean companies in relation to their lawsuits and government investigations taking place in the overseas.
Before joining DR & AJU LLC, Mr. Hyun Chul Noh worked as an in-house lawyer for Hyundai Motor Company and Kia Corporation where he advised on various legal issues involving cross-border transactions, and managed arbitration/litigation cases (including patent disputes) involving both domestic and international jurisdictions. With his previous experience as an in-house counsel, Mr. Noh understands corporate clients and can deliver solutions tailored to the client’s specific and strategic needs.
- Acted as legal advisor for large domestic companies and small & medium-sized enterprises (SMEs) in establishing overseas subsidiaries, branches and liaison offices.
- Acted as legal advisor for large domestic companies and small & medium-sized enterprises (SMEs) in establishing joint venture and successfully advised with regard to the acquisition of business licensing (Germany, England, China, Taiwan, Indonesia and Malaysia.)
- Acted as legal advisor for numerous foreign companies in establishing subsidiaries and acquiring business licensing in Korea.
- Acted as legal advisor for domestic private equity firms, banks and securities companies related to the investments in foreign companies or funds.
- Acted as legal advisor for foreign investors and successfully advised in relation to the acquisition and divestment of shares (including block deals) in Korean listed companies and related disclosure matters.
- Acted as legal advisor for various domestic and international M&A transactions, including the sale of tank terminals by a large domestic company, the acquisition of overseas assets and operations, the sale of a domestic business division of foreign-based chemical company, the acquisition of a domestic company by Italian textile company, the acquisition of foreign school in Korea, the sale of overseas Solar PV power plant and sales of domestic solar power and wind power projects.
- Acted as legal advisor on various projects including establishing a U.S. factory for a domestic secondary battery component company and assisting a domestic state-owned power facility with overseas power plant construction project and business expansion.
Dispute / Litigation
- Managed various disputes between domestic companies and overseas distributors, as well as disputes related to joint ventures.
- Represented a domestic bank in litigation in China and in Korea concerning a letter of credit.
- Represented an overseas investment company in a dispute related to the delisting of an offshore company listed in Korea.
- Represented a domestic securities company in relation to violations of the Capital Market Act concerning their offshore bonds.
- Managed various litigation and international arbitration cases involving equipment supply and brand royalties, etc.
- Managed various cross-border litigation and government investigation support work for domestic companies in assisting with the complex document review and discovery process.
