DR & AJU successfully advised Woori Bank Co., Ltd. on a transaction where Client invested in KKR European Fund IV (EUR) SCSp, which is managed by its general partner KKR Associates Europe VI SCSp, by acquiring limited partnership (LP) interests from NH Investment & Securities.
DR & AJU provided comprehensive advisory and facilitated communication between Woori Bank, NH Investment & Securities, and KKR Associates Europe VI SCSp throughout the entire transfer of LP interests. In particular, DR & AJU reviewed the relevant domestic rules and laws, such as the Financial Investment Services and Capital Markets Act, the prohibited activities under the Volcker Rule, etc., reviewed and summarized the Limited Partnership Agreement, prepared the side letter, assisted in the KYC process, prepared the Assignment and Assumption Agreement with NH Investment & Securities, and procured authorization from the general partner of the fund, KKR Associates Europe VI SCSp, on the transfer of LP interests and status.
